Terms of Service

Introduction
These Terms of Service govern your access to and use of Ebylo, a software service operated by Ebylo, Inc., a Delaware corporation.
By accessing or using Ebylo, you agree to these Terms. If you do not agree, do not use the service.
1. The Service
Ebylo provides sales leaders with forecast risk visibility based on customer provided HubSpot CRM data or uploaded sales pipeline data.
Ebylo is intended to support business judgment. Ebylo does not guarantee sales outcomes, revenue results, forecast accuracy, customer behavior, or deal closure.
2. Customer Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate account and billing information and to keep that information current.
3. Customer Data
You retain ownership of the data you provide to Ebylo, including CRM data, uploaded files, deal records, activity records, owner information, and related business information.
You grant Ebylo permission to access, process, store, and display Customer Data only as needed to provide, maintain, secure, and improve the service.
You represent that you have the necessary rights and permissions to connect HubSpot, upload data, and allow Ebylo toprocess Customer Data on behalf of your organization.
4. HubSpot Access
If you connect HubSpot to Ebylo, you authorize Ebylo to access the HubSpot data allowed by the scopes approved during the HubSpot connection process.
Ebylo currently uses read-only HubSpot access to retrieve deal data and owner data for forecast risk visibility.
Ebylo does not request HubSpot email scope and does not access HubSpot email content.
Ebylo does not sell HubSpot data.
You may disconnect HubSpot access at any time through the Ebylo application or through your HubSpot account.
5. Acceptable Use
You agree not to:
· Use Ebylo for unlawful purposes.
· Attempt to access another customer's account or data.
· Upload data that you do not have permission to use.
· Interfere with the security or operation of the service.
· Reverse engineer, scrape, copy, or misuse the service except as permitted by law.
· Use Ebylo to store highly sensitive personal information unless Ebylo has expressly agreed in writing.
6. Fees and Payment
Paid access to Ebylo may require payment through Stripe or another authorized payment provider.
Fees, access periods, renewal terms, and refund terms are shown at checkout or in the applicable order page.
Unless otherwise stated in writing, fees are nonrefundable except as described in the refund policy presented at purchase.
7. Availability and Changes
Ebylo may update, modify, suspend, or discontinue parts of the service from time to time.
We aim to provide a reliable service, but we do not guarantee uninterrupted availability or error free operation.
8. Confidentiality
Each party may receive confidential business information from the other. Each party agrees to protect confidential information using reasonable care and to use it only for purposes related to the service.
Customer Data is treated as confidential information.
9. Security
Ebylo uses reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
No system is completely secure. You are responsible for using strong passwords, protecting account access, and promptly notifying us of suspected unauthorized access.
10. Third Party Services
Ebylo may rely on third party services such as hosting providers, database providers, payment processors, email providers, and CRM platforms.
Your use of those third party services may also be governed by their own terms and policies.
11. Disclaimers
Ebylo is provided "as is" and "as available."
To the maximum extent permitted by law, Ebylo disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Ebylo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost data, or business interruption.
To the maximum extent permitted by law, Ebylo's total liability for any claim related to the service will not exceed the amount paid by the customer to Ebylo for the service during the three months before the event giving rise to the claim.
13. Termination
You may stop using Ebylo at any time.
Ebylo may suspend or terminate access if you violate these Terms, fail to pay required fees, create security risk, misuse the service, or if continued access would create legal or operational risk.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
